Terms of Service

Effective February 26, 2026

These Terms of Service (“Terms”) govern your use of Showrunner, operated by FRND Technologies Inc.(“we”, “us”, “our”). By creating an account or using the service, you agree to these Terms.

If you do not agree, do not use Showrunner. It is that simple.

1. The Service

Showrunner is an AI-powered podcast production platform. It provides tools for research, script generation, guest outreach, metadata optimization, and other production workflows. The service is designed for podcast creators and production teams.

We are actively building and improving Showrunner. Features may be added, changed, or removed. We will make reasonable efforts to communicate significant changes, but the nature of the product means it evolves continuously.

2. Your Account

You need an account to use Showrunner. When you create one, you agree to:

  • Provide accurate information
  • Keep your credentials secure
  • Accept responsibility for all activity under your account
  • Notify us immediately if you suspect unauthorized access

You must be at least 16 years old to create an account. If you are creating an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Subscriptions and Billing

Showrunner offers both free and paid plans. Paid subscriptions are billed through our PCI-compliant payment processor.

  • Free trial — Certain plans or promotions may include a free trial period. If applicable, you will not be charged until the trial ends and you choose to continue on a paid plan.
  • Billing cycle — Subscriptions renew automatically at the end of each billing period (monthly or annual, depending on your plan). You can cancel at any time from your account settings.
  • Cancellation — When you cancel, your subscription remains active until the end of the current billing period. We do not prorate refunds for partial periods.
  • Price changes— We may change pricing with at least 30 days’ notice. Price changes apply at your next renewal. If you do not agree with the new pricing, cancel before the renewal date.
  • Usage limits — Each plan includes limits on AI operations, storage, and other resources. If you exceed your plan limits, some features may be restricted until your next billing period or until you upgrade.

4. Your Content

You own your content. Everything you create in Showrunner — show profiles, episode data, research, scripts, outreach drafts — belongs to you. We do not claim ownership of your content.

By using the service, you grant us a limited license to store, process, and display your content as necessary to operate Showrunner. This license ends when you delete your content or your account.

You are responsible for your content. Do not use Showrunner to create, store, or distribute content that is illegal, harmful, or infringes on the rights of others.

5. AI-Generated Content

This section matters. Please read it carefully.

Showrunner uses third-party AI models to generate research, scripts, metadata, and other content on your behalf. Here is what you need to know:

  • Ownership — AI-generated outputs created through your use of Showrunner are treated as your content under these Terms. You may use them however you like, subject to applicable law.
  • Accuracy — AI-generated content may contain errors, inaccuracies, or fabricated information. You are responsible for reviewing and verifying all AI outputs before publishing or relying on them. Showrunner is a production assistant, not a fact-checker.
  • Uniqueness — AI models may produce similar outputs for different users with similar inputs. We cannot guarantee that AI-generated content will be unique.
  • No training on your data — We do not use your inputs or outputs to train AI models. The AI providers we use have API terms that prohibit this. See our Privacy Policy for details.

6. Acceptable Use

Use Showrunner like a reasonable person would. Specifically, do not:

  • Use the service to generate spam, misleading content, or deepfake material
  • Attempt to reverse-engineer, scrape, or extract our AI prompts or system architecture
  • Circumvent usage limits, rate limits, or access controls
  • Use automated tools to access the service (except through our published API)
  • Resell or redistribute Showrunner as your own product
  • Use the service in any way that violates applicable law
  • Harass, impersonate, or harm other users

We reserve the right to suspend or terminate accounts that violate these rules. We will try to give you a heads-up first, but we may act immediately for serious violations.

7. Developer API

If you access Showrunner through our Developer API, additional terms apply:

  • API keys are confidential. Do not share them or embed them in client-side code.
  • Respect rate limits. Excessive usage may result in throttling or suspension.
  • We may change the API with notice. We will version breaking changes and provide reasonable migration windows.

8. Intellectual Property

The Showrunner platform — including its code, design, branding, AI prompts, and documentation — is the intellectual property of FRND Technologies Inc. These Terms do not grant you any rights to our IP beyond the right to use the service as intended.

“Showrunner” and the Eddy mascot are trademarks of FRND Technologies Inc. Do not use our branding in a way that implies endorsement or affiliation without written permission.

9. Disclaimers

Showrunner is provided “as is” and “as available.” We work hard to keep it reliable, but we do not guarantee:

  • 100% uptime or uninterrupted service
  • That AI-generated content will be accurate, complete, or fit for any specific purpose
  • That the service will meet all of your requirements
  • That defects will be corrected on any particular timeline

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, FRND Technologies Inc. and its founders, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of Showrunner.

Our total liability for any claim related to the service is limited to the amount you paid us in the 12 months preceding the claim, or $100 CAD, whichever is greater.

These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitation of certain damages, so some of these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless FRND Technologies Inc. from any claims, damages, or expenses arising from (a) your use of Showrunner, (b) your content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

12. Termination

You can close your account at any time through your account settings or by emailing us.

We may suspend or terminate your account if you violate these Terms, if we are required to by law, or if we discontinue the service. If we terminate your account without cause, we will provide reasonable notice and refund any prepaid amounts for unused service.

Upon termination, your right to use the service ends immediately. We will delete your data in accordance with our Privacy Policy.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts of Ontario, Canada.

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision does not constitute a waiver.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice in the application at least 30 days before the changes take effect.

Your continued use of Showrunner after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, stop using the service and close your account.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FRND Technologies Inc. regarding your use of Showrunner. They supersede any prior agreements or understandings.
